Automater.AI — Terms of Service

Effective date: 2026-05-05

These Terms of Service (“Terms”) govern your access to and use of the Automater.AI desktop application, website, and related services (collectively, the “Service”) provided by Automater.AI (“we”, “us”, “our”). By creating an account, downloading the desktop application, or otherwise accessing the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Service.

1. Acceptance

By clicking “I agree” during account registration, by completing the verification of your email address, or by accessing or using the Service in any manner, you represent that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” and “your” refer to that entity.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction (whichever is greater), to create an account or use the Service. You may not use the Service if you are barred from doing so under any applicable law, or if your account has previously been terminated by us for cause.

3. Account Registration & Email Verification

To use most features of the Service, you must register for an account by providing a valid email address and a password. After registration, we send a verification link to the email address you provided; you must verify your email address before you can sign in for the first time. Verification links expire 24 hours after they are issued. You may request a new verification link if your link expires.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

4. Subscription & Billing

The Service is offered under a single paid subscription tier of US$50 per year, billed annually in advance through Stripe Checkout. By subscribing you authorize us, through Stripe, to charge your designated payment method the subscription fee on each annual renewal date until you cancel.

Taxes. The advertised price does not include any sales tax, value-added tax (VAT), goods-and-services tax (GST), or other transactional tax that may apply in your jurisdiction. You are solely responsible for determining and paying any tax that you may owe in connection with your subscription. We do not currently calculate, collect, or remit such taxes on your behalf.

Payment processor. All payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe’s terms of service. We do not store your full payment card number or other sensitive payment instrument data on our systems.

5. Refund Policy

We offer a 30-day, no-questions-asked refund on your initial annual subscription. To request a refund, email [email protected] within 30 days of the charge. Refunds are issued through Stripe to the original payment method, typically within 5–10 business days of approval. Refund requests received after the 30-day window will be evaluated on a case-by-case basis but are not guaranteed.

6. Acceptable Use

You agree not to:

• use the Service to violate any applicable law or regulation;
• upload, transmit, or otherwise make available any content that infringes any intellectual property right or other proprietary right of any party;
• attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service;
• use the Service to send spam, unsolicited bulk communications, or any form of automated abuse;
• introduce viruses, worms, malware, or other malicious code into the Service;
• reverse-engineer, decompile, or disassemble any portion of the Service except to the extent permitted by applicable law;
• use the Service to develop or train a competing product or service.

We reserve the right (but assume no obligation) to investigate and take appropriate action — including suspending or terminating your account — against any user we determine to be violating this section.

7. Termination

You may cancel your subscription at any time through the billing settings in the Service or by emailing [email protected]. Cancellation takes effect at the end of the current billing period; you retain access until that date.

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or in response to a credible threat to the security or integrity of the Service. Upon termination, your right to access the Service ceases immediately. Sections that by their nature should survive termination (including Sections 9, 11, 12, and 14) survive.

8. Sub-processors

We use the following named sub-processors to operate the Service. Each is contractually bound to security and confidentiality obligations no less protective than ours.

We will provide reasonable notice on this page if we add or change a sub-processor in a way that materially affects how your data is processed.

9. Data Processing & GDPR

We process personal data in accordance with our Privacy Policy. For users in the European Economic Area, the United Kingdom, and Switzerland:

• Account data and billing data are processed on the basis of contract necessity (Article 6(1)(b) GDPR).
• Crash and error reports collected by Sentry are processed on the basis of legitimate interest (Article 6(1)(f) GDPR; see Recital 47), in order to keep the Service secure, stable, and free of defects.
• Product analytics are processed only with your explicit, opt-in consent (Article 6(1)(a) GDPR), captured through the cookie-consent banner.

You may exercise your rights of access, rectification, erasure, restriction, objection, and portability by emailing [email protected]. Until our self-serve data-rights portal ships in a future release, all GDPR and CCPA rights requests are handled manually by email; we aim to respond within 30 days.

10. Intellectual Property

The Service, including all software, content, design, and trademarks, is owned by Automater.AI or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes during the period of your active subscription.

You retain all rights in any content, code, or other materials you create using the Service (“User Content”). You grant us only the limited license necessary to host, transmit, and display your User Content for the purpose of providing the Service to you.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (b) US$100. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES; THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and of the state to be specified by counsel prior to public launch (jurisdiction TBD by counsel review), without regard to its conflict-of-laws principles. Counsel review note: confirm or replace the governing-law and venue clauses (state, county, and dispute-resolution forum) before this document is relied upon.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective date” at the top of this document and, if the changes are material, we will provide reasonable advance notice (for example, by email or by a notice within the Service). Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of those Terms.
